1. Acceptance of Terms

By accessing or using the Shft platform (“Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you are using Shft on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Shft is a shift scheduling and workforce management platform operated by Ethos Ltd. The Service enables businesses (“Admins”) to create rosters, publish schedules, manage shift swaps, track time, and communicate with their workforce (“Workers”). Features include but are not limited to: schedule creation, shift swap approvals, availability management, time tracking, timesheets, and payroll export integrations.

3. Accounts & Access

To use Shft you must register and create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must:

• Provide accurate and complete registration information.
• Notify us immediately of any unauthorised access or security breach.
• Not share your account credentials with anyone outside your authorised team.
• Be at least 18 years of age, or the legal age of majority in your jurisdiction.

Ethos Ltd reserves the right to suspend or terminate accounts that violate these Terms or that are found to be inactive for an extended period.

4. Subscription & Payment

Shft is offered on a subscription basis. By subscribing you agree to pay the applicable fees as described on our pricing page. All fees are:

• Billed in advance on a monthly or annual cycle depending on your chosen plan.
• Non-refundable except where required by applicable law or as expressly stated in a refund policy.
• Subject to change with 30 days' notice. Continued use after a price change constitutes acceptance.

Failure to pay may result in suspension of your account. During a free trial period, no payment is required; however, the Service may be limited, and the trial may be terminated at any time.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Upload, transmit, or distribute malicious code, spam, or harmful content.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Reverse-engineer, decompile, or otherwise attempt to derive the source code of the platform.
• Use the Service to harass, abuse, or harm any individual.
• Resell or sublicense the Service without prior written consent from Ethos Ltd.

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the collection and use of your data as described in the Privacy Policy. As an Admin, you are responsible for ensuring that any Worker data you input into Shft has been collected lawfully and that Workers have been informed of its use.

7. Intellectual Property

All intellectual property rights in the Service — including the platform, software, design, logos, and content — are owned by or licensed to Ethos Ltd. These Terms do not grant you any rights to use Ethos Ltd's trade marks, logos, or brand features. You retain ownership of any data or content you upload to the Service, and you grant Ethos Ltd a limited licence to store and process that data solely to provide the Service.

8. Third-Party Integrations

Shft may integrate with third-party services such as payroll providers, calendar applications, and communication platforms. These integrations are subject to the third party's own terms and privacy policies. Ethos Ltd is not responsible for the availability, accuracy, or conduct of any third-party service.

9. Limitation of Liability

To the fullest extent permitted by law, Ethos Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of profits, data, or business interruption.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the fees you paid to us in the three months preceding the claim.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Ethos Ltd does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Termination

Either party may terminate the agreement at any time. You may cancel your subscription through your account settings. Ethos Ltd may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our data retention policy as described in the Privacy Policy.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
